1. Agreement to Terms

Welcome to Cehpoint. These Terms of Service ("Terms") govern your access to and use of our AI-Powered ATS + Business Management System, including our website, applications, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use our Services.

2. Description of Services

Cehpoint provides an all-in-one platform that includes:

• Applicant Tracking System (ATS): Resume upload, AI-powered question generation, automated answer analysis, and cheating protection
• Business Management: Client requirement collection, automatic quotation generation, project assignment, progress tracking, and report generation
• Multi-User Access: Role-based access for HR personnel, employees, and clients
• Dashboard & Analytics: Real-time client dashboards, payment tracking, and business insights
• Hosting & Support: Lifetime free hosting, continuous updates, and priority customer support

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using Cehpoint, you represent that you meet these requirements.

3.2 Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.3 Business Use

Cehpoint is designed for business and professional use. You agree to use the Services only for legitimate business purposes and in compliance with all applicable laws and regulations.

4. Pricing and Payment

4.1 One-Time Payment

Cehpoint operates on a one-time payment model. The current price is ₹15,000 (Indian Rupees Fifteen Thousand Only) for lifetime access. This includes:

• Full access to all current and future features
• Lifetime free hosting on our servers
• All software updates and upgrades at no additional cost
• Priority customer support
• Setup and personalized training

4.2 Payment Terms

• Payment must be made in full before system setup and activation
• We accept payments via bank transfer, UPI, credit/debit cards, and other approved methods
• All prices are in Indian Rupees (INR) unless otherwise stated
• GST invoices will be provided for all transactions as per Indian tax regulations

4.3 Price Changes

We reserve the right to change our pricing at any time. Existing customers will not be affected by price increases; the one-time payment grants you lifetime access at the price you paid.

4.4 Customization Fees

Basic customization and industry-specific setup are included in the base price. Additional custom development beyond the standard scope may incur extra charges, which will be communicated and agreed upon in advance.

5. Service Delivery and Setup

5.1 Setup Timeline

After payment confirmation, we aim to set up your system within 24-48 hours. Setup time may vary based on:

• Complexity of customization requirements
• Volume of data to be migrated or integrated
• Availability of your team for onboarding sessions

5.2 Training and Onboarding

We provide personalized training to help your team get started. This includes platform walkthroughs, best practices, and support documentation.

5.3 Custom Delivery (72-Hour Option)

We offer expedited custom development within 72 hours for industry-specific features. Availability and additional charges (if any) will be discussed on a case-by-case basis.

6. User Responsibilities and Acceptable Use

6.1 Acceptable Use

You agree to use the Services responsibly and NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to discriminate unlawfully in hiring or employment practices
• Share, resell, or redistribute access to the Services without our written consent
• Scrape, harvest, or collect user data without authorization
• Interfere with or disrupt the integrity or performance of the Services

6.2 Content Responsibility

You are solely responsible for all data, content, and information you upload, submit, or transmit through the Services, including candidate resumes, client information, and project data. You represent that you have all necessary rights and permissions to use and share such content.

6.3 Compliance with Employment Laws

You agree to comply with all applicable employment, labor, and anti-discrimination laws in your use of the ATS features. Cehpoint provides tools to assist your hiring process, but you remain solely responsible for all hiring decisions and legal compliance.

7. Intellectual Property Rights

7.1 Our Rights

The Services, including all software, code, designs, text, graphics, logos, and trademarks, are owned by Cehpoint and protected by copyright, trademark, and other intellectual property laws. Your use of the Services does not grant you ownership of any intellectual property rights in the platform itself.

7.2 Your Data Rights

You retain all rights to your business data, candidate information, and content you upload to the Services. We do not claim ownership of your data.

7.3 Source Code Access

As part of our transparency commitment, eligible customers may receive access to customize source code for their instance. This access is subject to additional terms and does not grant you the right to redistribute or sell the software.

8. AI and Automated Decision-Making

8.1 Human-in-the-Loop Approach

Cehpoint is designed as a human-in-the-loop system. AI features assist with initial screening, question generation, and answer analysis, but all final hiring decisions remain with your HR team and authorized personnel.

8.2 AI Limitations

While our AI is designed to be accurate and helpful, it is not perfect. You acknowledge that:

• AI-generated questions and assessments should be reviewed by qualified personnel
• Automated scoring is a tool to assist decision-making, not replace human judgment
• You are responsible for ensuring fairness and legal compliance in your hiring practices

9. Data Security and Privacy

While we strive to protect your data, no system is completely secure. You acknowledge that you use the Services at your own risk and agree to take reasonable precautions to protect your account and data.

10. Warranties and Disclaimers

10.1 Service Availability

We strive to provide reliable, uninterrupted service. However, we do not guarantee that the Services will be available 100% of the time. We may experience downtime due to maintenance, updates, or unforeseen technical issues.

10.2 "As Is" Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEHPOINT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO CEHPOINT (₹15,000 OR THE THEN-CURRENT PRICING).

12. Indemnification

You agree to indemnify, defend, and hold harmless Cehpoint, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including employment laws or privacy rights
• Any content or data you submit through the Services

13. Term and Termination

13.1 Lifetime Access

Your one-time payment grants you lifetime access to the Services, subject to your compliance with these Terms.

13.2 Termination by You

You may stop using the Services at any time. Account closure requests can be made by contacting our support team. Please note that one-time payments are non-refundable except as specified in our Refund Policy.

13.3 Termination by Us

We reserve the right to suspend or terminate your access to the Services if you violate these Terms, engage in fraudulent activity, or use the Services in a manner that could harm us or other users.

13.4 Effect of Termination

Upon termination, your right to use the Services will cease immediately. We will provide you with the opportunity to export your data within 30 days of termination, after which we may delete your data in accordance with our data retention policies.

14. Modifications to Services and Terms

We may modify, update, or discontinue features of the Services at any time. We will make reasonable efforts to notify you of significant changes.

14.2 Terms Updates

15. Governing Law and Dispute Resolution
